Welcome to Client Flow Engine™ (“Company”, “we”, “our”, “us”).
These Terms of Service (“Terms”) govern your access to and use of our website, services, systems, and software-style offerings. By purchasing, accessing, or using our services, you agree to be bound by these Terms.

If you do not agree with any part of these Terms, you may not access or use our services.

1. Services Provided

Client Flow Engine™ provides a done-for-you client acquisition system, including but not limited to:

  • Paid advertising setup and management

  • Funnel and automation setup

  • AI-powered follow-up systems

  • CRM configuration and integrations

  • Performance tracking and reporting

Services are delivered as a managed system installation, not as employment, coaching, or consulting.

2. Eligibility

To use our services, you must:

  • Be at least 18 years old

  • Have legal authority to enter a binding agreement

  • Operate a legitimate fitness coaching or related business

We reserve the right to refuse service to anyone at our discretion.

3. No Guaranteed Financial Results

While we may provide performance guarantees related to booked calls, we do not guarantee revenue, profits, or business success.

Results depend on multiple factors outside our control, including but not limited to:

  • Your offer quality and pricing

  • Your sales process and closing ability

  • Market conditions

  • Ad platform policies

You acknowledge that business outcomes vary and accept full responsibility for your financial results.

4. Performance Guarantees (If Applicable)

If your agreement includes a performance-based guarantee (e.g., “10 booked calls”), the following applies:

  • “Booked calls” are defined as qualified prospects who schedule a call via the system

  • Qualification criteria are defined in advance

  • Missed calls, no-shows, or unqualified prospects due to false information may be excluded

If the guarantee is not met, our obligation is limited to continued service delivery, not refunds or damages.

5. Client Responsibilities

You agree to:

  • Provide accurate onboarding information

  • Maintain compliant ad accounts and payment methods

  • Respond to leads in a timely manner

  • Follow platform terms (Meta, Google, SMS, email providers)

Failure to meet these responsibilities may impact performance and void guarantees.

6. Payments & Billing

  • Setup fees are non-refundable

  • Monthly fees are billed in advance

  • Performance-based fees are billed according to agreed metrics

  • Late or failed payments may result in service suspension

All prices are exclusive of taxes unless stated otherwise.

7. Intellectual Property

What We Own

  • Proprietary frameworks, systems, templates, scripts, and processes

  • Branding, documentation, and system architecture

What You Own

  • Your ad accounts

  • Your CRM data

  • Your funnels and automations after installation

  • Your leads and customer information

You may not resell, replicate, or redistribute our proprietary systems without written permission.

8. Data & Confidentiality

We treat all client data as confidential and use it solely to deliver services.

You agree not to disclose:

  • Internal processes

  • Pricing structures

  • System logic or documentation

Both parties agree to maintain confidentiality during and after the engagement.

9. Third-Party Platforms

Our services rely on third-party tools such as:

  • Advertising platforms (Meta, Google)

  • CRM software (e.g., GoHighLevel)

  • Automation tools

We are not responsible for outages, bans, policy changes, or limitations imposed by third parties.

10. Termination

Either party may terminate the agreement according to the terms outlined in your service agreement.

Upon termination:

  • Access to managed services ends

  • Client retains ownership of installed systems

  • No refunds are issued for completed or ongoing billing cycles

11. Limitation of Liability

To the maximum extent permitted by law, Client Flow Engine™ shall not be liable for:

  • Lost revenue or profits

  • Business interruption

  • Indirect or consequential damages

Our total liability shall not exceed the amount paid by you in the last 30 days.

12. Indemnification

You agree to indemnify and hold harmless Client Flow Engine™ from any claims arising from:

  • Your business practices

  • Your advertising content

  • Violations of platform policies or laws

13. Changes to These Terms

We may update these Terms at any time.
Continued use of our services after updates constitutes acceptance of the revised Terms.

14. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of [Your Country].
